2. Engagement & Payments
Payment Terms: Payments may be structured as upfront, milestone-based, or retainer fees, depending on the project agreement.
Invoices: Clients must pay invoices by the due date stated in the contract.
Non-Payment: We reserve the right to pause or terminate work if payments are delayed or not received.
Refunds: All payments are non-refundable.
3. Intellectual Property
Client Ownership: Upon full payment, all custom AI agents, code, workflows, and deliverables created for the client will belong to the client.
Agency Rights: AI Agent Bros retains the right to:
- Display non-confidential parts of the work in our portfolio.
- Reference client results as case studies or marketing materials (unless the client requests confidentiality in writing).
4. Confidentiality
Both parties agree to keep confidential information, trade secrets, and business strategies secure and not disclose them to third parties without written consent, except as required by law.
5. Limitations of Liability
Our services are provided on a best-effort basis. We do not guarantee specific business outcomes or results from AI systems or automation.
We are not liable for damages caused by misuse of our deliverables, errors arising from third-party platforms, or indirect losses such as lost profits.
Our total liability in any case will not exceed the total amount paid by the client for the specific engagement.
6. Termination & Cancellation
Either party may terminate an engagement by giving written notice as specified in the contract.
Retainer agreements may require a notice period (e.g., 30 days) before cancellation, as agreed in the service contract.
7. Governing Law
These Terms & Conditions are governed by and construed in accordance with the laws of New Delhi, India, and subject to the jurisdiction of courts located in New Delhi.
8. Updates to These Terms
We may update these Terms & Conditions from time to time. Updated versions will be posted on our website with a revised "Last Updated" date.
